Corporate Attorney

Proxy Legal Staffing & Search Group has partnered with a Pittsburgh-based firm to identify a Corporate Attorney to join its growing practice. This attorney will work closely with senior leadership and support a diverse client base across a range of transactional matters.

Key Responsibilities:

• Support mergers & acquisitions transactions
• Assist with commercial lending matters
• Draft and negotiate a variety of commercial agreements, including purchase and supply agreements, leases, NDAs, and employment contracts
• Advise on entity formation, governance, and structuring considerations
• Partner with senior attorneys to provide strategic counsel to clients

Qualifications:

• J.D. and active Pennsylvania bar admission
• 2+ years of experience in a law firm, corporate, or government setting
• Strong knowledge of applicable federal, state, and local laws
• Excellent drafting, negotiation, and communication skills
• Demonstrated business acumen and ability to effectively advise clients
• Familiarity with business development processes and client objectives
• Proficiency in Microsoft Office Suite

Job Details:

• Full-time position
• Hybrid position with occasional travel throughout state of Pennsylvania

Duties/Responsibilities

• Manage and oversee a large caseload of litigation matters related to the oil and gas industry in Pennsylvania
• Conduct legal research and analysis to support case strategy and legal arguments
• Draft pleadings, motions, and other legal documents
• Represent oil and gas clients in court hearings, depositions, mediations, and other legal proceedings

Education and Experience: 

• Juris Doctorate Degree
• 2-3 Years of Legal Experience
• Must be able to practice law in the State of Pennsylvania
• Prior Oil & Gas Experience is a plus
• Strong Writing Skills (Law Review experience is a plus)

• Examine abstracts of titles, leases, contracts, and other legal documents to determine ownership of land, and gas, oil, and mineral rights. 
• Conduct detailed title examinations for oil and gas properties, including mineral rights and surface rights.
• Prepare and review title opinions.
• Search for and examine public records and write opinions on titles.

Education and Experience:

• Juris Doctorate Degree
• Must be admitted to PA bar, WV license is a plus
• 3 + years of oil & gas title experience
